Terms and Conditions

1. Introduction

1.1 These CatchBet Partners Terms and Conditions (the "Agreement") is a legal agreement between CatchBet Partners and You. This Agreement includes and incorporates the terms and conditions set out below ("Terms and Conditions") together with the IO (as defined below) agreed between Us and You.

1.2 You should closely read and understand these Terms and Conditions and the terms of any agreed upon IO which will govern Your registration and participation in CatchBet Partners Affiliate Program (the "Affiliate Program" or "Us", or “CatchBet Partners”).

1.3 By ticking the box to indicate your acceptance, You agree to the Terms and Conditions and Privacy Policy. This action completes the registration process and creates your account on the CatchBet Partners Affiliate Program Website. By opening an account, You confirm that you have read, understood, and accepted the Terms and Conditions, Privacy Policy, and all applicable laws.

1.4 Please note that our Terms and Conditions may be changed at any time. Any changes become effective when posted at the official website of the CatchBet Partners Affiliate Program https://catchbet.partners/ (the "Website") immediately after the publishing. CatchBet Partners may change the Terms and Conditions and add to, change, suspend or discontinue any aspect of the CatchBet Partners Affiliate Program at any time, including by removing or adding any Brand Website to the CatchBet Partners Affiliate Program. It is solely Your responsibility to check the Terms and Conditions for changes regularly. All documents published on the website of the CatchBet Partners Affiliate Program are considered as currently valid. The chronology of changes to the rules of the CatchBet Partners Affiliate Program is not maintained.

1.5 The continued use of the CatchBet Partners Affiliate Program following any change in these Terms and Conditions will constitute binding acceptance of such changes. If the Affiliate (the "Affiliate", “You”) does not agree to any such changes, either party may terminate the Agreement pursuant to clause 18 as appropriate.

1.6 This Agreement starts upon CatchBet Partners approves Affiliate's application for the participation in the Affiliate Program and confirms Affiliate's Account by sending a confirmation email to Affiliate. After sending the confirmation letter the Parties may also sign a relevant IO about cooperation.

1.7 The Affiliate is solely responsible for the security of its personal information and its safety, including the Login Details. Affiliate shall take all steps to ensure that such details are not revealed to any third party. If an Affiliate suspects that the Affiliate Account has been accessed or misused by a third party, Affiliate shall inform CatchBet Partners immediately. CatchBet Partners shall not be liable for any damages resulting from improper or careless use of personal information.

1.8 Everyone who identifies themselves by entering correct Login Details is assumed by CatchBet Partners to be an Affiliate and all transactions where Login Details have been entered correctly will be regarded as valid and attributed to the Affiliate.

2. Definitions

2.1 "Agreement" means these CatchBet Partners Terms and Conditions and respective IO (as defined below) signed between CatchBet Partners and the Affiliate.

“Insertion Order (IO)” or “IO” means the respective contract between CatchBet Partners and the Affiliate that is an inseparable part of the Agreement. The IO shall include the details of the Offer, Remuneration Model, Promotional Content and Marketing Channel, financial details and other necessary information.

"Affiliate" means a webmaster (an individual who has reached the age of 18 or a legal entity) accepts the terms of this document and works to promote the CatchBet Partners Affiliate Program product on the Internet;

"Affiliate Program" means CatchBet Partners's proprietary web-based advertising platform, accessible at https://catchbet.partners/ or at any other website or mobile application provided by CatchBet Partners by means of which CatchBet Partners attracts new visitors to its Internet Source. CatchBet Partners provide links, banners, and texts for promotion of its Internet Resource to the participants of the Affiliate Program and pay a certain percentage of the income received from customers who came through the Affiliate's advertisement.

“Affiliate Payments” means if and as applicable, the Revenue Share Commission, CPA Commission, Hybrid Commission, Fixed Fee, Listing Fee and/or Referring Affiliate Fee that the Affiliate is to receive.

“Internet Source” means the CatchBet Partner's online platform, Website, or mobile application where its Services, products, or content are hosted and made available to Player.

“Affiliate Account” means the personal account resulting from an Affiliate’s registration on the Website, containing personal/corporate data including data with regard to the use of Services via the Website.

“Affiliate Website” means the websites, mobile applications which Affiliate owns and operates or Promotional Content, which Affiliate detail in Application Form or Affiliate Account which is agreed to in an IO or an Offer (solely for the avoidance of doubt for the duration of the IO or an Offer, as applicable).

“Applicant” means the person or legal entity that wishes to participate in an Affiliate Program as an Affiliate.

“Authorized Person” means an individual or entity that is granted the legal authority to act on behalf of another person or legal entity. This authority may be granted through a legal document such as a power of attorney, a contract, a Charter or by law.

“Applicable Laws” means all applicable laws, directives, regulations, marketing guidelines, rules, mandatory codes of practice or conduct, standards, judgments, judicial orders, ordinances and decrees imposed by law or any competent governmental or regulatory authority or agency.

"Media" means (i) websites, social media groups, accounts or channels owned, controlled or operated by the Affiliate; and/or (ii) email campaigns, social networks campaigns, search engine advertising campaigns or other campaigns run by Affiliate in compliance with this Agreement.

“Promotional Content” means all content promoting the Brand Websites that is:
(i) made available to the Affiliate (and not subsequently withdrawn) by or on behalf of CatchBet Partners; and
(ii) created by or on behalf of the Affiliate, provided such content is approved by CatchBet Partners in writing in advance; and
(iii) contains Tracking URL provided by CatchBet Partners or made available for Affiliate’s use through the CatchBet Partners Affiliate Program in order to market and promote a Brand on Marketing Channels.

“Marketing Channel” means each of the channels by which Affiliate distributes or makes available Promotional Content to Players from time to time (including via website publication (including on the Affiliate Website), email, mobile applications, SMS, push notification, social media and/or any other media (online or offline)), provided that in respect of email, SMS, push notification and social media: (i) the relevant channel has been approved by CatchBet Partners in writing in advance; and (ii) each use of each relevant channel by that Affiliate has been reviewed and approved in writing by CatchBet Partners in advance.

“Guidelines” means the guidelines we may, at our sole and absolute discretion, provide to Affiliate by email or which may be made available on the CatchBet Partners Affiliate Program Website (as may be amended from time to time).

“Website” means the official website of CatchBet Partners or its Brand(-s), including any device-specific versions of such Website and any native applications related to such Affiliate. The official website of CatchBet Partners is https://catchbet.partners/.

“Services” means the marketing and promotion of the Brands using the Promotional Content via the Marketing Channel in accordance with this Agreement and otherwise with this Agreement and otherwise the fulfillment of the Affiliate’s obligations hereunder.

“Brand” means a project advertised with promotional materials (betting, casino, trading) on ​​the Internet;

"Tracking URL" means a unique URL which directs Leads and New Players to the CatchBet Partners's destination and serves to attribute a particular Lead or New Player to CatchBet Partners according to this Agreement.

"Creatives" means graphic and textual materials and/or other creative materials promoting CatchBet Partners, its Brand(s), products and/or their Services, which Affiliate may display on Media.

"Offer" means terms and conditions set out by CatchBet Partners for each advertising campaign, which are binding on Affiliate for as long as Affiliate distributes the Ads in Promotional Content of such campaign(s).

"Ad", "Ads" means a banner, text, post or any other type of online advertisement that includes Creatives, contains a link to the CatchBet Partners’s landing page, official pages of Brands or other destinations, including Tracking URL, and is placed and displayed by Affiliate on its Media.

"Lead" means a potential Player introduced by Affiliate to CatchBet Partners who has performed certain actions (e.g. filled-out a form or an opt-in email address, deposited etc.) specified in the relevant Offer and who is seeking to legitimately use advertised products, Brands or Services. The required actions of the Players will be agreed with each Affiliate separately and will be based on the Offer and Remuneration Model.

"New Player" means an individual, an internet user without a prior or existing account with CatchBet Partners, who (i) is permitted under applicable law to use the Services offered by CatchBet Partners, (ii) during the term of the applicable Offer accesses CatchBet Partners Websites, Websites of the Brands or other destinations specified in the applicable Offer after being directed through Affiliate's Tracking URL from Affiliate's Media, (iii) completes the applicable registration process, (iv) agrees and accepts CatchBet Partners's Terms and conditions and/or other agreements, (v) opens a new user account with CatchBet Partners and its Brands (after such user's identity and age have been verified, and such user has been accepted as a Player by CatchBet Partners), (vi) makes the required minimum deposit in such account and/or performs other actions set out in the applicable Offer, and (vii) such account and/or payment has not been canceled, terminated, refunded or charged back; provided other applicable terms, conditions and requirements of this Agreement and the relevant Offer have been met.

"Remuneration Model" means a specific Remuneration payment mechanism (CPA, CPL, Revenue Share or their combination) as stated in the Offer and Affiliate's Account in regard to each Offer accepted by Affiliate.

"CPA" means cost per acquisition of a New Player.

"CPL" means cost per Lead, a pricing method when Affiliate is paid a one-time fixed fee per Lead.

"Revenue Share" means a Remuneration Model when CatchBet Partners pays the Affiliate a share of NET revenue earned and actually received by CatchBet Partners resulting from a New Player, subject to all requirements, restrictions and provisions of this Agreement and the relevant Offer.

How a Revenue Share is calculated:
Revenue Share = NGR × AFF %
NGR = (Bets - Wins - Bonuses - Taxes - Additional Deductions) - admin fee (7,5%).

AFF % is determined for each Affiliate separately in its Offer.

"Hybrid" means a Remuneration Model that combines features of CPA and Revenue Share pricing methods.

“Referring Affiliate Fee” as defined in Section ‎12.

"Marks" means trademarks, service marks, brand names and other designations of CatchBet Partners or of their products, Brands or Services.

“Intellectual Property Rights” means any and all intellectual property rights, of all types or nature whatsoever, including, without limitation, patent, copyright, design rights, trademarks, trade dress, database rights, applications for any of the above, moral rights, know-how, trade secrets, domain names, URLs, trade names, or any other intellectual or industrial property rights (and any licenses in connection with any of the same), whether or not registered or capable of registration, and whether subsisting in any specific country or countries or any other part of the world.

“Login Details” means the username and password that an Affiliate uses to access its Affiliate Account. These details are created during the registration process and are used to securely log in to the affiliate dashboard where they can view their earnings, track their referrals, and manage their Affiliate Account settings.

“Data Protection Legislation” means the Data Protection Act 2018, the EU Data Protection Directive 95/46/EC, the Regulation of Investigatory Powers Act 2000, the Telecommunications (Lawful Business Practice) (Interception of Communications) Regulations 2000 (SI 2000/2699), the Electronic Communications Data Protection Directive 2002/58/EC, the Privacy and Electronic Communications (EC Directive) Regulations 2003 in each case, as amended, revised or replaced from time to time (in particular, by operation of the Directive 2009/136/EC, and the General Data Protection Regulation (EU) 2016/679 ("GDPR")) and all applicable national implementing legislation and guidelines, or any applicable analogous legislation in any jurisdiction, in each case, as amended, revised or replaced from time to time.

“Prohibited Material” means: (i) pornography and explicit content;
(ii) any material promoting sex, abuse, violence, discrimination based on sex, religion, nationality, age, illegal activities, disability and etc.;
(iii) unlawful materials;
(iv) viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful;
(v) content that infringes or allegedly infringes the Intellectual Property Rights of CatchBet Partners and/or any affiliated companies, its licensors or any third party;
(vi) content that does not comply with the local laws and regulations.

"Referring Affiliate" means an Affiliate who may refer prospective Affiliates to CatchBet Partners pursuant to the terms of Section 12 of the Agreement and has been approved by CatchBet Partners as such at CatchBet Partners's sole discretion.

"Referred Affiliate" means a person without a prior or existing account with CatchBet Partners, who:
(i) has completed the applicable registration process;
(ii) has agreed and accepted this Agreement;
(iii) is accepted by CatchBet Partners as an Affiliate;
(iv) has been in compliance with this Agreement and/or applicable laws and
(v) has an existing Agreement with CatchBet Partners.

"Fraud" means, by way of example:
(i) actions that result in duplicate Leads or New Players;
(ii) encouragement of bonus abuse on the part of a New Player;
(iii) actions that involve or lead to, or use of fraudulent information, expired authorizations, non-sufficient funds, bank processing errors, duplicate billing, identity theft or card fraud;
(iv) chargeback or refund executed by a New Player in relation to their initial deposit;
(v) collusion on the part of a New Player with any third party on the CatchBet Partners’ and/or its Website, Websites of its Brands or other destination;
(vi) opening of an account with CatchBet Partners in breach of the terms of this Agreement, the applicable Offer and/or of the agreements with CatchBet Partners;
(vii) offering or providing by an Affiliate or any third party of any incentives, including without limitation when a Leads or New Player is promised or offered any form of compensation or rakeback for visiting CatchBet Partners destinations, using CatchBet Partners’s products, Brands or Services, performing actions, becoming a registered customer, etc.,
(viii) creating or using a single link intended to be used by a single Player;
(ix) generation of Leads by use of automated crawlers, robots, scripts, automated redirects, spiders, software, scrapers, frames, iframes, scripts, "refreshing" of pages or other mechanical, artificial or fraudulent means;
(x) use of deceptive methods to encourage a person to click on the Ad and/or to perform actions;
(xi) conducting advertising campaigns whose terms are obtained as a result of an Affiliate's collusion with CatchBet Partners team members. Collusion means an informal agreement on the provision of preferences on the financial aspects of advertising campaigns in exchange for a fee, service or assistance, a gift and/or any other tangible or intangible benefit from Affiliate to the manager responsible for providing financial conditions for advertising campaigns and;
(xii) any other act by Affiliate, Lead or New Player which is reasonably understood to have been committed in bad faith against CatchBet Partners regardless of whether or not such action has resulted in any type of harm or damage to them.

2.2. Any phrase introduced by the terms "including", "include", "in particular" or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.

2.3. If any provision in a definition is a substantive provision conferring rights or imposing obligations on any party, notwithstanding that it is only in the definition clause, effect shall be given to it as if it were a substantive provision in the body of the Agreement.

2.4. The headings in this Agreement are for ease of reference only and shall not affect its construction.

2.5. In this Agreement, if the context so requires, references to the singular shall include the plural and vice versa.

2.6. A reference to any statute, statutory provision or statutory instrument includes a reference to that statute, statutory provision or statutory instrument together with all rules and regulations made under them and as from time to time amended, consolidated or re-enacted.

3. Conditions for working with CatchBet Partners Affiliate Program

3.1 When starting to work with CatchBet Partners Affiliate Program, each Affiliate is obliged to review and accept these Terms and Conditions.

3.2 In order to become Affiliate and to participate in the Affiliate Program a person/legal entity shall submit an application and to register for an Affiliate Account with CatchBet Partners ("Applicant").

3.3 An individual may apply only if he/she is 18 years of age or over (or such other higher minimum legal age in Affiliate's country or in a country of the CatchBet Partners) and it is legal for him/her to do so according to the laws that apply in his/her country. If an Affiliate is an entity, it can have no one working for you who is below the 18 years. The Affiliate, accepting the terms of the Terms and Conditions, thereby confirms that he/she is 18 or more years old (as well as its employees and contractors) and is eligible to enter into this Agreement. If an Affiliate is an entity, it can have no one working for you who is below the 18 years.

3.4 CatchBet Partners may conduct KYC checks of Applicants before acceptance of their participation in CatchBet Partners Affiliate Program to verify the Affiliate’s age, identity, location and contact details, and to confirm that the Affiliate and/or its affiliated persons is not a politically exposed person or listed or otherwise affected by any sanctions lists such as the Financial Action Task Force’s list of high-risk and other monitored jurisdictions.

3.5 If a person is entering into this Agreement on behalf of a business entity, by doing so, he/she represents that he/she has the legal capacity and authority to bind such a business entity to this Agreement.

3.6 By registering in CatchBet Partners Affiliate Program the Applicant agrees that CatchBet Partners is entitled to perform KYC checks on the Affiliate on its sole discretion at any time throughout the Term, including to re-verify the Affiliate’s details or to perform enhanced KYC as required by Applicable Laws. The Affiliate shall cooperate with CatchBet Partners’ KYC requests promptly in order to be accepted into and remain in the CatchBet Partners Affiliate Program.

3.7 Applicant can open an Affiliate Account with CatchBet Partners by entering its valid email choosing a password (collectively - "Login Details").

3.8 Other information, as may be requested by CacthBet Partners during cooperation, shall be provided no later than three (3) days after the request.

3.9 The request on information may include:
i. first and last name,
ii. nickname,
iii. company name,
iv. phone number,
v. messengers (Skype, Teams, Telegram, Signal etc.)
vi. address;
vii. information about Affiliate's Media (e.g. valid domain name of the website Affiliate owns or operates),
viii. payment details,
ix. any other information requested by CatchBet Partners in order to complete the application review or pass KYC check.

3.10 The Applicant who is acting as a legal person shall additionally provide CatchBet Partners with the following information:
i. registered number,
ii. name of the Authorized Person who is acting on behalf of legal entity.
iii. any other additional information requested by CatchBet Partners in order to complete the application review.

3.11 CatchBet Partners reserve the right at any time during the whole cooperation to request further documentation and information from an Affiliate/Applicant (including but not limited to documents such as identity card, proof of address, certificate of incorporation, certificate of registered address, certificate of good standing and certificates proving good financial standing etc.), whether related to the application or for any other reason and an Affiliate/Applicant shall immediately provide CatchBet Partners with such documentation and information. If deemed necessary, CatchBet Partners may request that copies of any documents are notarised by a Public Notary or apostilled.

3.12 CatchBet Partners may request at any time that Affiliate/Applicant provide us with documentation as determined by us which verifies all beneficiaries and payment details. CatchBet Partners shall not be liable to pay Affiliate/Applicant any Affiliate Payments until verification of their beneficiaries and payment information is completed to our satisfaction. If at any time Affiliate/Applicant fail such verification, CatchBet Partners may terminate the Agreement immediately.

3.13 After CatchBet Partners reviews Applicant's application, CatchBet Partners will notify Applicant of its acceptance or rejection to the Affiliate Program.

3.14 CatchBet Partners may accept or reject application at its sole discretion for any reason. CatchBet Partners reserves the right to not disclose reasons of rejection of the Applicant’s application. Applicant hereby waives any claims related to rejection of its application. We shall not have any liability to the Applicant or to anyone else in relation to a rejected application. For the avoidance of doubt, we shall not be liable to pay Affiliate/Applicant any Affiliate Payments which Affiliate/Applicant accrue prior to application approval.

3.15 Applicant/Affiliate shall ensure that information provided at or after registration is always accurate and kept up to date. The Affiliate shall immediately notify CatchBet Partners about any changes on the provided above data through the Affiliate Account or by contacting support team.

3.16 In the event that CatchBet Partners discovers, or reasonably believes, that Affiliate has opened more than one Account, CatchBet Partners reserve the right to suspend duplicate Accounts without any notice until all the details and balances belonging to the Affiliate are consolidated. All other Affiliate Accounts will be terminated leaving a single active Affiliate Account for Affiliate to use. If there is a need to operate with two or more Accounts in the CatchBet Partners Affiliate Program, the Affiliate is obliged to notify the support service and provide objective justifications for such a need.

3.17 Members of the CatchBet Partners Affiliate Program are prohibited from having accounts in Brand registered as a result of their placement of promotional materials. If such situations are detected, both the Affiliate’s Account and the player’s account in the Brand are blocked with a full debit. This rule applies equally to people who are personally acquainted with an Affiliate.

3.18 It is Affiliate's sole responsibility to ensure that at all times it complies with the Applicable Laws that govern Affiliate's activities and that Affiliate has the complete legal right to participate in the Affiliate Program.

4. Offers

4.1 Subject to the terms, limitations and conditions herein, CatchBet Partners provide Affiliate with an access to CatchBet Partners's Offers.

4.2 The details of the Offer may be provided both in the Affiliate’s Account, via email, or any other communication methods provided to the CatchBet Partners and/or in the form of an Insertion Order (“IO”), signed by the representatives of the parties.

4.3 Affiliate will be able to start its advertising campaign with respect to each Offer provided that (i) CatchBet Partners, at its sole discretion, has approved an Affiliate for the particular IO, or (ii) CatchBet Partners has accepted this Agreement, or whatever is earlier.

4.4 The terms and conditions of each Offer accepted by an Affiliate when participating in the CatchBet Partners Affiliate Program is binding on the Affiliate. An Offer may include:

i. Start and end date; ii. Targeting (e.g. demographic (gender, age) and/or geographic targeting), traffic (e.g. retention rate) metrics or KPI metrics;
iii. Budget;
iv. Terms of use of Creatives;
v. Definition of a Lead or a New Player, including specifics as for qualifying and Non-Qualifying Leads or New Players, or calculation of net revenue;
vi. Remuneration Model, including remuneration for a Lead and/or percentage of the net revenue for a New Player;
vii. Payment terms;
viii. Restrictions to specific promotional methods or Media, and/or to Ads;
ix. activity that the New Player shall do (visit the Website of the Brand, make a deposit on the Website) to be rewarded with a remuneration payment; and
x. Any other terms, requirements and restrictions determined by CatchBet Partners.

4.5 At CatchBet Partners's discretion an Offer may be executed in the form of an Insertion Order, signed by the representatives of the parties.

4.6 CatchBet Partners may change, modify or cancel any term and condition of their Offers, in whole or in part, at their sole discretion. CatchBet Partners are not obliged to notify the Affiliate about any changes or cancellation of the Offer. The Affiliate is solely liable for regular checking of conditions of the Offers published in their Affiliate r Accounts. Any changes of the Offer are considered valid from the moment of publishing of respective changes in the Offer on the Affiliate Account of the Affiliate.

4.6 Affiliate's continued participation in the Affiliate Program after a change or update has been made will constitute Affiliate's acceptance to the revised Offer. If Affiliate does not agree with the modifications, Affiliate shall terminate its participation in the Affiliate Program immediately.

4.7 Modifications may include, but are not limited to, changes in the scope of available Offers, payment rates and payment procedures.

4.8 The Offer also can be changed at the request of the Affiliate if there is a mutual writing consent between the Parties.

4.9 In case of conflict of this Agreement and the applicable Offer, the terms and conditions of the Offer shall prevail.

4.10 Affiliate's breach of any terms and conditions of an Offer constitutes Affiliate's breach of this Agreement. In the case if Affiliate breaches this Agreement, CatchBet Partners may unilaterally terminate the contract in accordance with the clause 18 of this Agreement.

4.11 Affiliate agrees to work in full transparency with CatchBet Partners, and agrees to provide CatchBet Partners with all applicable information regarding CatchBet Partners's activities, including without limitation, the promotional methods used in order to promote and direct traffic to Media and/or to Ads.

Affiliate’s rights

5.1 CatchBet Partners will make available to Affiliate Tracking URLs and may provide Affiliate with (i) resources, Guidelines, support, technical and integration assistance relating to Affiliate's use of the CatchBet Partners Affiliate Program, and (ii) Creatives, which can be integrated into Ads and which Affiliate shall or may display (depending on the requirements and restrictions set out in the applicable Offer) on Media subject to terms and conditions of the relevant Offer and this Agreement.

5.2 CatchBet Partners grant Affiliate a nonexclusive, non transferable, revocable right, during the term of its participation in the CatchBet Partners Affiliate Program and subject to the limitations set forth in this Agreement to: (i) promote CatchBet Partners's Brands, products or Services to Affiliate's audience, users, prospects and Customers in accordance with this Agreement, and (ii) place Tracking URLs and Creatives on Ads and Media in accordance with this Agreement, solely for the purpose of promoting CatchBet Partners and its Brands, products or Services.

5.3 Affiliate may not alter, modify, manipulate or create derivative works of the Creatives or any CatchBet Partners's graphics, creative, copy or other materials owned by, or licensed to CatchBet Partners in any way, unless Affiliate has received prior written consent from CatchBet Partners to do so. Affiliates are only entitled to use these materials, in accordance with this Agreement.

5.4 Affiliate may not modify Tracking URLs without prior written permission of CatchBet Partners. Without derogating from any of CatchBet Partners other rights and remedies, if Affiliate makes any alternations, modifications or amendments without prior written approval of CatchBet Partners, CatchBet Partners may render the Tracking URLs inoperative.

5.5 In the event that CatchBet Partners determines that Affiliate's use of Tracking URLs and Creatives is not in compliance with this Agreement, CatchBet Partners shall be entitled to take such measures as to make Tracking URLs used by Affiliate inactive and require Affiliate to immediately stop distributing Ads containing Creatives.

5.6 CatchBet Partners at any time at their sole decision may change, suspend, alter, modify or discontinue any aspect of Tracking URLs and Creatives provided to Affiliate. Affiliate agrees to promptly comply with any request from CatchBet Partners to remove, alter or modify Tracking URLs and/or Creatives that are being used by Affiliate as part of CatchBet Partners Affiliate Program.

5.7 If CatchBet Partners use of any Promotional Content including without limitation the Tracking URLs is not in compliance with the terms of this Agreement, CatchBet Partners may take such measures as to deactivate such Promotional Content or the Tracking URLs contained therein.

Affiliate's Obligations

6.1 The Affiliate is obliged to provide the Services in accordance with this Agreement and respective Offer.

6.2 The Affiliate shall provide the Services in accordance with all of the Applicable Laws and regulations on advertising.

6.3 The Affiliate shall not use the Promotional Content on any Affiliate Website which breaches Applicable Laws.

6.4 CatchBet Partners may request that Affiliate change the positioning of the Promotional Content, cease using the Promotional Content, or use different Promotional Content and Affiliate must immediately comply with such request.

6.5 Affiliate shall not provide the Promotional Content to any third party.

6.6 Affiliate agree that it will cooperate fully with the CatchBet Partners in order to establish and maintain the Promotional Content which includes without limitation the Tracking URLs.

6.7 CatchBet Partners are not liable for any offenses committed by the Affiliate in the provision of Services. Any penalties incurred as a result of providing of the Services shall be paid by the Affiliate.

6.8 If the Affiliate would like to advertise the Brand Websites through an Affiliate network, it must receive CatchBet Partners’ consent in writing first and grant CatchBet Partners access to an account on the platform of Affiliate network, through which all marketing of the Brand Websites will be accessible.

6.9 The Affiliate shall not advertise Brands of CatchBet Partners Brands on the territories of the restricted countries which may be prescribed in the Offer as well as comply with all of the local online gambling and affiliate marketing regulations.

6.10 The Affiliate shall at all times comply with the General Data Protection Regulation (GDPR) and any existing or future data protection laws, acts, or regulations applicable to their territory. This includes, but is not limited to, all relevant legislation and regulations concerning the use of cookies. 6.11 For the purposes of this Agreement, the Affiliate acknowledges and agrees that they will not have access to any Personal Data of the CatchBet Partners’s players.

6.12 The Affiliate must notify CatchBet Partners about any changes (such as change of banking details, contact person, legal entity and etc.).

6.13 Affiliate shall only use the most up to date Promotional Content to promote Brands.

6.14 CatchBet Partners are committed to promoting responsible gaming and preventing gambling addiction. The Affiliate agrees to actively cooperate with the CatchBet Partners in conveying a responsible gaming message to players.

6.15 Specifically, the Affiliate shall not use any marketing materials or target individuals who are under the age of 18 or below the legal gambling age in their jurisdiction. The Affiliate agrees to ensure that all advertising is directed only at individuals who are legally eligible to participate in gambling activities.

6.16 The Affiliate agrees not to target or promote gambling activities in any territory or jurisdiction where gambling is illegal. The Affiliate shall at all times act in compliance with the relevant and applicable laws, and shall not engage in any activities related to the Affiliate Program, or otherwise, that are in violation of any law or regulation.

6.17 The Affiliate agrees to immediately return any сommissions and Remunerations received that are based on New Customers referred to the CatchBet Partners in breach of the Affiliate Agreement, or that relate to fraudulent or falsified transactions, upon request by the CatchBet Partners.

7. Affiliate's Campaigns

7.1 Affiliate must first submit to CatchBet Partners for review and approval of the Media it will be using, as well as proposed Creatives (if such Creatives are not provided by CatchBet Partners) including but not limited to: links to advertising websites, graphic content, banners, teasers, texts, videos and other information related to the advertising of the Brand carried out by the CatchBet Partners. In case the placement is carried out on third parties’ media, the Affiliaye undertakes to provide objective data supporting such advertising, including but not limited to: screenshots of statistics of third-party advertising cabinets, screenshots of previews of advertising materials, technical data on placement, etc. If the Affiliate refuses to provide such objective data, then the CatchBet Partners reserve the right to terminate cooperation with the Affiliate without paying remuneration.

7.2 CatchBet Partners will notify Affiliate if Media and/or proposed Creatives have been approved for use or rejected as inappropriate.

7.3 If Affiliate wishes to place Tracking URLs and Creatives within media or on sites other than approved Media Affiliate must request and receive CatchBet Partners's prior permission for the placement of Tracking URLs and Creatives on such alternative media or sites. If permission is granted, such alternative media or sites shall then become Media for the purposes of this Agreement.

7.4 Affiliate accepts that all Affiliate's costs in connection with Affiliate's activity under this Agreement shall be borne solely by Affiliate and CatchBet Partners shall under no circumstances participate in such costs.

7.5 Affiliate shall be solely and exclusively responsible for:
i. the accuracy, truthfulness, and appropriateness of materials posted on Media,
ii. any links, that lead from Affiliate's Media to any other website and for any content that can be found by following these links,
iii. the design, development, operation and maintenance of Affiliate's Media, and
iv. for any use of Media not operated or controlled by Affiliate.

7.6 Affiliate at all times must have express permission:
i. to use third-party copyrighted or other proprietary material on Media, Ads or as a part of Creatives (if such Creatives are not provided by CatchBet Partners), and
ii. to use any name, image, likeness, or other aspects of an identity of other individual (e.g. photographs or images of individuals).

7.7 CatchBet Partners will not be responsible if Affiliate uses third-party copyrighted or other proprietary material, or infringe on the right of publicity or personality rights in violation of the law.

7.8 Using images/photos of politicians and political topics on Media, Ads or as a part of Creatives is forbidden. It is forbidden to use drops of governmental and charitable foundations and initiatives, as well as websites and resources where advertising and links have been placed illegally. The Affiliate's Account will be banned if such advertising material is detected.

7.9 It is forbidden to use the content of other brands, including text, layout and design, to promote the CatchBet Partners Brands. It is forbidden to use clones of websites of webmasters who have entered the top, using bugs and vulnerabilities of the search network. If such violations are found, the Affiliate’s Account will be blocked.

7.10 Brand traffic from contextual advertising and one-page / small-page sites created exclusively for search query groups аccepted only by CPA payment model. It is allowed to brand traffic from review sites on RevenueShare and Hybrid models, depending on the GEO of the players.

7.11 In cases when CatchBet Partners' Brand is promoted through channels and bots in Telegram, it is prohibited to impersonate another media person, use someone else's content, channel description and other materials that mislead players and contain deliberately false information. In case such activities are detected, the aforementioned Affiliates Account will be disconnected from the CatchBet Partners Affiliate Program after investigation.

7.12 The CatchBet Partners Affiliate Program restricts the use of some keywords in specific geos in organic traffic sources and PPC. Before launching these sources, the manager notifies the Affiliate of all keyword restrictions. In case of bypassing the restrictions, the CatchBet Partners Affiliate Program has the right to block the Affiliate's account without payment.

7.13 Affiliate shall at all times market and promote the Affiliate Websites:
(i) in accordance with Applicable Laws;
(ii) in a manner which does not infringe third party Intellectual Property Rights;
and (iii) only to persons above the legal age in the country of their jurisdiction.

7.14 Affiliate shall at all times market and promote the Affiliate Websites in a socially responsible manner. Without derogating from the foregoing, Affiliate must never market and promote any of the Affiliate Websites in a manner which:
(i) portrays, condones or encourages behaviour that is socially irresponsible or which can lead to social or emotional harm;
(ii) claims that gambling is free of the risks of financial losses;
(iii) promotes behaviour that objectively leads to financial harm;
(iv) provides false or unrealistic information about the probability of gambling winnings or returns;
(v) suggests that skill can influence the outcome of a game of pure chance;
(vi) suggests that it is possible to gamble anonymously or without holding an account with an online gambling operator;
(vii) targets or specifically appeals to those under the age of 18;
(viii) shows, condones or encourages criminal or antisocial behaviour;
(ix) condones or encourages anti-social behaviour;
(x) suggests gambling is an important part of an individual’s life and can be a resolution to personal, professional or educational problems;
(xi) claims that gambling can lead to social success or enhancement of personal qualities or that gambling can improve a persons’ self-esteem;
(xii) promotes gambling as an alternative to employment, or a financial investment or a solution to financial problems;
(xiii) implies that gambling is more important than family, friends, professional or educational obligations;
(xiv) exploits the susceptibilities, aspirations, credulity, inexperience or lack of knowledge of people or vulnerable persons;
(xv) contains content that gambling could lead to sexual success or enhanced attractiveness; or
(xvi) suggests or applies peer pressure to gamble or that abstention from gambling is disparaging.

7.15 Affiliate agrees that he is responsible for the operation of the Affiliate Websites and the content of the Affiliate Websites including without limitation the accuracy and completeness of such content.

7.16 Except for the use of the Promotional Content, the Affiliate Websites will not contain any content or materials of the Brands or copy or resemble the look and feel of the Brands.

7.17 Affiliate shall not market or promote the Brands by any Marketing Channel unless agreed in an IO or Offer and only for the duration of the IO or Offer (as applicable).

7.18 In the event that a Listing Fee is applicable, Affiliate shall ensure at all times that the Promotional Content is displayed in the relevant position on the Affiliate Website as agreed in an IO or Offer (as applicable).

8. Restrictions for Media/Creatives/Ads and Affiliate's Campaigns

8.1 Media (including any of their content and linked content), Creatives (if such Creatives are not provided by CatchBet Partners, Ads and Affiliate's advertising, promotional and marketing campaigns under this Agreement, IO and any Offer, including, but not limited to the activities of direction and provision of traffic of Leads or New Player shall not at any time: i. target any person who is under the legal age for using CatchBet Partners's Brands, products and Services according to the Applicable Law;
ii. portray children or underage person gambling or be deemed appealing to children or underage person; iii. depict gambling as a way to success or achievement, or as a possibility of making profit;
iv. contain exaggerated claims concerning CatchBet Partners or any of its products, Brands or Services;
v. violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights);
vi. display, contain or link to any material which is harmful, threatening, defamatory, abusive, hateful, obscene, sexually explicit, harassing, libelous, slanderous, injurious, promote violence, promote discrimination (whether based on sex, religion, race, ethnicity, nationality, disability or age), promote illegal activities, contain profanity or otherwise contain materials that CatchBet Partners informs Affiliate is considered objectionable;
vii. make any representations, warranties or other statements concerning CatchBet Partners, or any of its products, Brands or Services, unless otherwise is directly set out in the applicable Offer or IO (what applicable);
viii. provide inaccurate information about CatchBet Partner's Marks, Brands products and Services; ix. misleadingly compare CatchBet Partner’s Marks, goods and services to competitor's marks, goods and services or create confusion between CatchBet Partners's Marks, Brands, products and Services and marks, goods or Services of its competitors;
x. contain misleading information;
xi. refer to an individual in any manner, including by using voice, images or pictorial representations of an individual, unless prior written consent has been obtained from this individual;
xii. involve content locking;
xiii. display fake errors or warnings to induce user action, including, for instance, warnings about viruses, missing codecs, and corrupt disks;
xiv. be abusive or fraudulent;
xv. be likely to deceive the public; and
xvi. mislead Leads and New Players by advertising slot games or Websites content with non-existent features or mechanics, including but not limited to fake bonus rounds, artificially inflated RTPs, or any gameplay functionalities that do not exist in the actual game etc.,
xvii. be otherwise illegal, violate the rights of any third party or infringe upon any Applicable Laws, including, but not limited to advertising or gambling laws, privacy laws and regulations of the country of CatchBet Partners's location and countries of its Brands, and/or of the countries where Ads are displayed.

8.2 It is prohibited under this Agreement and Affiliate shall refrain from:
i. keyword advertising with Internet search engines by bidding on keywords referring to CatchBet Partners's Marks, including but not limited to Marks spelled in any possible way (including with typos, spaces, signs, symbols, in any other way or in other languages); and
ii. register any domain name or mobile app with a name, logo or appearance that includes any of CatchBet Partners's Marks or trade or other Brand name operated by CatchBet Partners or is, in our sole discretion, determined to infringe our Intellectual Property Rights or be confusingly similar to our trademarks, Brands or logos.
iii. include metatag keywords on the Affiliate Website; or
iv. applying for or registration, including by but not limited to trademark or internet domain names, of any of CatchBet Partners's Brand names, designations, Marks, designations spelled in any possible way (including with typos, spaces, signs, symbols, in any other way or in other languages), or any domain name, trade or service mark which consists or comprises word or words, logo or their parts similar to CatchBet Partners's Brand names, domain names, designations and Marks for any goods or services in any country.
v. sending any forms of spam by or on behalf of the Affiliate.

9. Unsolicited Email Campaigns

9.1 If the Affiliate intends to send any emails or SMS communications to individuals that (i) include any of the CatchBet Partners’s Intellectual Property, or (ii) are intended to promote any of the CatchBet Partners’s Websites, the Affiliate must first obtain the CatchBet Partners’s prior written approval.

9.2 Affiliate will not use any unsolicited or spam email, messages or notifications sent electronically through any media, channel, app or other means of communication to distribute Ads, and Affiliate will ensure that Media and any related marketing materials or communications do not contain any spyware, adware or other unwanted threats and comply at all times with applicable anti-spam laws.

9.3 Affiliate warrant and represent that any emails, messages or notifications that are distributed by Affiliate, directly or indirectly shall:
i. not be directed at people who have not conspicuously consented to receiving promotional messages from Affiliate;
ii. clearly identify Affiliate as the source of the message;
iii. provide the recipient with an option to easily remove them from receiving future mailings or promotions;
iv. be clear and unambiguous that Affiliate is advertising the Brand and not any third parties, their products and/or their sites as well as that any advertising is sent from Affiliate and not the CatchBet Partners, or the Brand;
v. includes a clear and unambiguous identifiable reference that the Marketing Channel is a commercial communication;
vi. not sent to individuals below the legal age in their jurisdiction;
vii. include the true name in the “From” field of any email and not a sales pitch or marketing message. Any such correspondence must clearly identify Affiliate as the communication’s sender and Affiliate shall not attempt to or falsify or disguise or try to hide its identity in any way. For the avoidance of doubt, Affiliate is not allowed to reflect or attempt to give the illusion that the message is sent on behalf of CatchBet Partners or its Brands.
viii. include a function of “opt-out” or “unsubscribe” (e.g., “unsubscribe button”) as well as contains a valid operative email address to which the recipient of such Marketing Channel can respond to unsubscribe or opt-out future promotions. In such instances Affiliate agrees not to send any Promotional Content to any individual who has indicated (by whatever means) that they do not wish to receive any further marketing communications;
ix. contains a link to a privacy policy; and

9.4 Affiliate must ensure that Affiliate has performed suppression of Affiliate’s mailing lists to exclude any individuals that are self-excluded from any gambling platform which includes without limitation any gambling websites or applications or any other individuals who should not receive any marketing materials relating to Brands (which includes without limitation the Promotional Content). Affiliate shall ensure that a player who has self-excluded from any of the Brands is not sent a promotion after the self-exclusion and Affiliate is solely held responsible for the content and manner of the marketing activities that are carried out there on after.

9.5 Affiliate shall either use email or other message templates provided by CatchBet Partners, or Affiliate shall submit the final version of Affiliate's email or other message to CatchBet Partners for approval prior to sending emails, messages or notifications containing Tracking URLs, Creatives or Ads.

9.6 If CatchBet Partners suspend the Affiliate in any forms of spam, it can on its own discretion suspend the Affiliate Account and withhold the deposits of such Affiliate.

10. CatchBet Partners Rights

10.1 CatchBet Partners has the right to monitor Media that Affiliate uses at any time and to determine if Affiliate is in compliance with this Agreement.

10.2 CatchBet Partners may update the list of prohibited Media or distribution channels and sources from time to time and at its sole discretion. All such Media, channels or methods shall be immediately withdrawn.

10.3 CatchBet Partners may request Affiliate to stop distributing any and all Ads or on specific Media or by using a particular distribution method deemed by CatchBet Partners questionable. Once CatchBet Partners send to Affiliate such a request CatchBet Partners will have no obligation to pay Affiliate for any actions associated with the subject matter of the CatchBet Partners request.

10.4 The CatchBet Partners Affiliate Program reserves the right to request from the Affiliate sources of traffic on which the Affiliate advertises Brand. If the Affiliate refuses to provide these sources, the CatchBet Partners reserve the right to terminate cooperation with the Affiliate.

10.5 The CatchBet Partners Affiliate Program reserves the right to block payments to the Affiliate, if the administration of the Affiliate Program has reason to believe that the Affiliate has violated the rules for working with the CatchBet Partners Affiliate Program. Payments can be blocked for any period until clarification of circumstances. According to the results of the verification, if violations of the terms of cooperation are revealed, the Affiliate Program reserves the right to block the Affiliate’s Account without prior notice.

10.6 In case of systematic use of obscene language or abuse of support service employees/contractors in appeals, the CatchBet Partners reserve the right to indefinitely deny the Affiliate any further online support or terminate cooperation with the subsequent blocking of the Affiliate Account and resetting the Affiliate balance.

10.7 Correspondence and personal communication with the administration, affiliate manager or CatchBet Partners Affiliate Program support service is considered classified information. CatchBet Partners Affiliate Program participants are prohibited from providing and making available to the public, public display, providing third parties with the opportunity to view / listen to secret information (or fragments thereof). In case of violation of this rule, CatchBet Partners reserve the right to terminate cooperation with the subsequent blocking of the Affiliate Account and resetting the Affiliate balance.

10.8 CatchBet Partners reserve the right to suspend payments to the Affiliate or block the Affiliate's Account in the CatchBet Partners Affiliate Program under the following circumstances:

i. CatchBet Partners have reasonable grounds to believe that the Affiliate has breached the terms and conditions of this Agreement;

ii. The Affiliate has utilized images, photographs, or videos of the CatchBet Partners's ambassadors in promotional materials. Ambassadors may include artists, bloggers, and other public figures;

iii. CatchBet Partners have reasonable grounds to believe that the Affiliate's Account has been transferred to third parties, sold, or compromised;

iv. The Affiliate has disclosed confidential information obtained through communication with the CatchBet Partners's administration or support services. All such information is considered confidential;

v. The Affiliate has demonstrated aggressive or offensive behavior towards CatchBet Partners representatives, including the use of threats or inappropriate language.

10.9 The CatchBet Partners have the right to disable any Affiliate Website or Affiliate Account registered or connected in countries or territories related to sanctioned regions. Additionally, if a domain or Affiliate Account is transferred to individuals or entities on the sanctions list or within sanctioned jurisdictions, CatchBet Partners may disable it.

10.10 In the event of a DDoS attack on the CatchBet Partners’s Affiliate Program infrastructure via an associated Affiliate Website, CatchBet Partners have the right to suspend the Affiliate Website’s connection until the issue is resolved.

10.11 All direct or indirect material or administrative costs associated with the use of the resource or compliance of content the associated with the Affiliate Website, the Affiliate and the registrant (the person associating the domain) bears by its own.​

10.12 Affiliate's breach of the provisions under this Section, including, but not limited to a misuse of Creatives or use of Creatives not approved by CatchBet Partners, will constitute a breach of this Agreement, and CatchBet Partners will retain full authority to terminate this Agreement immediately and retain for its own account any payment arising as a result of such activities that would otherwise have accrued to Affiliate's benefit without any reasoning.

11. Other Actions Leading to Non-Qualifying Leads or New Players

11.1 CatchBet Partners maintain a zero tolerance policy towards Fraud, invalid activities, and any methods that artificially generate Leads or New Players. CatchBet Partners may use third-party advertising fraud detection systems and tools to monitor such activities. Affiliate is expressly prohibited from using any persons, means, devices or arrangements to commit Fraud.

11.2 Any Lead or New Player rejected by CatchBet Partners irrespective of the cause of such rejection is considered "Non-Qualifying", including, but not limited to when it:
i. comes or is generated as a result of Fraud;
Ii. does not comply with any terms of the Offer or has not met the prerequisites set forth in the applicable Offer (e.g. leads or players not from the targeted location, users that are of a younger age as determined by CatchBet Partners, KPIs have not been met etc.); or
iii. is related to terminated, closed or expired Offer.

11.3 Notwithstanding the generality of the foregoing, Lead or New Player is also considered "Non-Qualifying" when it:
i. does not comply with other provisions of this Agreement, IO or any Applicable Law;
ii. comes or is generated as a result of Affiliate's breach of this Agreement, IO or
iii. occurs when the Affiliate is in breach of this Agreement, IO or any Applicable Law.

11.4 CatchBet Partners shall have no obligation to pay for Non-Qualifying Leads or New Players. For the avoidance of doubt, CatchBet Partners shall have no obligation to pay for Leads or New Players if Affiliate makes any misrepresentations in Affiliate's Account or violate the terms set forth in this Agreement.

11.5 CatchBet Partners shall make all determinations about Non-Qualifying activity in their sole discretion. In the event that CatchBet Partners determines that Affiliate has delivered Non-Qualifying Leads or New Players, or traffic that CatchBet Partners reasonably determines violates any term of the applicable Offer and/or this Agreement, or CatchBet Partners received any complaints about Affiliate's participation in Affiliate Program which CatchBet Partners reasonably believes to violate this Agreement, CatchBet Partners may, at CatchBet Partners' option:
i. temporarily freeze the Affiliate Account for 30 days. After 30 days period the Affiliate Account may be terminated and the deposits will be withhold;
ii. terminate Affiliate's Account,and terminate this Agreement,
iii. require Affiliate to immediately cease using Creatives, Tracking URLs and displaying Ads, and/or iv. withhold all unpaid amounts or charge back Affiliate's Accounts.

11.6 CatchBet Partners retains the right to review all Affiliate's Campaigns and actions, as well as Leads or New Players for possible Fraud or other noncompliance, whether such Fraud or noncompliance is on the part of users or on Affiliate's part. In any period of time during which such reviews are performed CatchBet Partners shall have the right to withhold any payment accrued in Affiliate's favor until such time as the review has been concluded. In the event that CatchBet Partners deems that Fraud or other noncompliance has occurred, Affiliate shall not be entitled to receive any payments which have accrued to Affiliate's benefit as a result of such Fraud or other noncompliance.

11.7 If 50% or more of the New Players referred by the Affiliate within a given month:

• make only the minimum required deposit, make only one or two small deposits, or exhibit little to no gameplay activity,

CatchBet Partners may deem the traffic as incentivized or non-genuine. In such cases, CatchBet Partners Partners reserve the right to freeze or withhold commissions for that month and/or terminate cooperation with the Affiliate.

11.8 The Affiliate shall not offer any cash-back, value-back, or similar incentive programs to users, except where such programs are expressly offered on the CatchBet Partners’s Websites. The Affiliate is not permitted to otherwise create, promote, or distribute any form of rebate, refund, or benefit intended to encourage user registration or activity, unless expressly authorized in writing by the CatchBet Partners.

Any breach of this clause shall entitle the CatchBet Partners, at its sole discretion, to withhold or forfeit any commissions due to the Affiliate and/or to immediately terminate the Affiliate’s participation in the Affiliate Program.

12. CatchBet Partners Referral Program

12.1 Referring Affiliate may refer a Referred Affiliate by providing a reference link that contains Referring Affiliate's reference ID to Referred Affiliate in order to register with the CatchBet Partners Affiliate Program.

12.2 Referring Affiliate will receive its reference ID after it has been approved by CatchBet Partners as such.

12.3 Once Referred Affiliate is approved by us and registered with the CatchBet Partners Affiliate Program, and provided that Referring Affiliate remains eligible to receive Remuneration pursuant to this Agreement, Referring Affiliate will receive Remuneration as to the particular Referred Affilaite at the rate of 5% of the net revenue brought by this Referred Affiliate to CatchBet Partners in the applicable month net of any payments made to discounts, taxes payable or refunds on a lifetime basis.

12.4 If at any time the net revenue received from the Referred Affiliate's is charged back or refunded, Referring Affiliate will become ineligible to receive Remuneration on any future net revenue collected from that Referred Affiliate.

12.5 Remuneration is only earned on actually received net revenue.

12.6 The Referred Affiliate must meet the following criteria so the Referring Affiliate can receive its Remuneration:
(i) The Referred Affiliate must generate at least 5 First-Time Deposits (FTDs).
(ii) The Referred Affiliate must achieve the key performance indicators (KPIs) agreed upon in the Offer.
(iii) The Referred Partner must adhere to all terms and conditions outlined in the Agreement.
(iv) The final qualification of the Referred Partners’ is subject to Partners' sole discretion and approval.
(v) The Remuneration will only be granted once these conditions are met.

12.7 Remuneration will only be paid if the Referred Affiliate is tracked by CatchBet Partners systems and is attributed to the Referring Affiliate through the reference link. No Remuneration will be paid if the referral cannot be tracked by CatchBet Partners systems.

12.8 Remuneration earned through fraudulent, illegal, or overly aggressive, questionable referrals or marketing methods, or otherwise in violation of this Agreement will be voided.

12.9 In case of revealed CatchBet Partners Referral Program abuse (including, but not limited to: creating multiple accounts by one person or entity within CatchBet Partners and connecting such accounts with a reference ID), any Remuneration will be voided.

13. Affiliate's Statistics

13.1 Affiliate will cooperate with CatchBet Partners to allow CatchBet Partners to track Leads or New Players directed to the CatchBet Partners’s Websites, websites of their Brands or other destinations.

13.2 To permit accurate tracking, reporting, and payments accrual, Affiliate must ensure that the Tracking URLs are properly formatted.

13.3 Affiliate shall use only Tracking URLs that were submitted to Affiliate by CatchBet Partners and shall not alter Tracking URLs.

13.4 The Affiliate shall ensure that Tracking URLs are displayed with prominence equal to or greater than any other promotional or sales links on the Affiliate Website.

13.5 Tracking URLs may only be used as provided by CatchBet Partners and strictly within the scope of the Affiliate Program. Any attempt to obscure, mask, or manipulate the source of traffic directed to the CatchBet Partners’s Websites—including but not limited to hiding referral sources—is strictly prohibited.

13.6 CatchBet Partners will provide Affiliate with its statistics as it is made available to CatchBet Partners by third-party providers. Affiliate will be able to view its statistics in the Affiliate Account. CatchBet Partners shall make available to Affiliate information concerning the number of Leads and/or New Players brought by Affiliate in connection with each Offer, or Referred Affiliates, and accrued payments.

13.7 Affiliate understands that CatchBet Partners' online statistics may not be entirely accurate at a given moment.

14. Payments

14.1 Subject to the terms of this Agreement, CatchBet Partners will pay Affiliate Remuneration for (i) Leads and/or New Players in accordance with the Remuneration model and the applicable Offer, and (ii) or Referred Affiliates. CatchBet Partners retain the right to change the Affiliate Remuneration percentage and method of calculation of Affiliate Remuneration in accordance with this clause.

14.2 In order to calculate the Remuneration, CatchBet Partners will administer the turnover generated via the Tracking URLs and record the total amount of Remuneration earned. The aforesaid information is based on information received from calculation thereof is made in accordance thereto, at CatchBet Partners's sole and final discretion, and shall not be open to review or appeal.

14.3 The commission is calculated on a monthly basis no later than the 10th day of the month following the reporting month. The calculated commission amount shall be agreed upon with the Affiliate either via chat or within the CatchBet Partners Affiliate Program platform. Following mutual agreement, the payment shall be made by the CatchBet Partners no later than the 25th day of the month following the reporting period.

14.4 The Remuneration payment processing may take from ten (10) minutes or more (up to 5 days), if CatchBet Partners or relevant third parties have to perform additional checks.

14.5 No payments will be made to Affiliate unless all payment details are completed in Affiliate's Account with CatchBet Partners (e.g. for wire transfers - beneficiary name, beneficiary address, account number, bank name, bank address and SWIFT). Affiliate will be solely responsible for accuracy, completeness and relevance of its contact and payment details in Affiliate's Account with CatchBet Partners. CatchBet Partners will not be liable for delay or non-receipt of the payment in case Affiliate provides CatchBet Partners with incorrect or incomplete payment details, and CatchBet Partners will not reimburse Affiliate for these payments. Affiliate will be liable for all expenses caused by incorrect or incomplete payment details, including, but not limited to returned payments, correction of payment details, payment rerouting and payment investigations. CatchBet Partners may apply an extra fee for correction of payment details, payment rerouting and payment investigations.

14.6 Unless expressly agreed by CatchBet Partners, Affiliate may not enter into any type of arrangement with a third party where that third party receives payments made to Affiliate by CatchBet Partners.

14.7 CatchBet Partners will apply service charges to each payment. Applicable fees are described in the dedicated section of the Affiliates's Account.

14.8 Payment of remuneration shall be made using the payment method separately agreed upon with the Affiliate. СatchBet Partners are operating within the conditions specified in the provisions. Affiliates can secure their timely commission payouts by invoicing their commissions before 15th of each month for the last qualifying period.

14.9 All payments via wire transfer and E-payments will be made in USD or EUR, at СatchBet Partners's sole discretion. In case the payment currency is different from the statistics currency, the exchange rate used for conversion will be the exchange rate quoted by the СatchBet Partners's bank.

14.10 A minimum threshold of €100 (hundred euro) or BTC equivalent and limited to €10000 (ten thousand euro) or BTC equivalent may be transferred to an Affiliate e-Wallet at one time upon a previously provided invoice.

14.11 A minimum commission threshold of €300 is available for Bank Wire transfers upon a previously provided invoice.

14.12 If an error is made in the calculation of the Affiliate Remuneration, CatchBet Partners reserves the right to correct such calculation at any time. Any underpayment will be adjusted and paid out, and any overpayment will be reclaimed in the following settlement month.

14.13 In case any of our available cryptocurrencies' exchange rate drop exceeds 50 percent during the last month, we reserve the right to recalculate the final Affiliate Remuneration, based on the running cryptocurrency’s exchange rate.

14.14 The Affiliate may, at CatchBet Partners’s sole discretion, be provided with the opportunity to restructure its commission structure.

14.15 If Affiliate wishes to dispute any payment made or withheld under this Agreement, Affiliate must notify CatchBet Partners in writing within five (5) days of any such payment. Failure to notify CatchBet Partners within the prescribed time limit shall be deemed as an irrevocable acknowledgment of an agreement with the balance due for the period indicated.

14.16 Players who set a cool-off, self-excluded or disabled their accounts the same qualifying month, should be deemed to be non-qualified players (hereinafter - “NQP”)

14.17 All NQP's shall not meet CPA requirements the same qualifying month and cannot trigger CPA structure.

14.18 CPA and Hybrid (CPA part) earnings are applicable solely to players who have deposited within 31 days of their registration.

14.19 In case of partnership on Hybrid and CPA basis there are several stipulations that should be taken into account:

14.20 Duplicate accounts and self-excluded players will be deducted from CPA part of the Remuneration. This stipulation takes effect unless an alternative was discussed with the affiliate manager beforehand.

14.21 In cases certain CAP was negotiated with a partner commission will be paid only for the negotiated number of FTDs.

14.22 The initial test cap is paid, if an Affiliate is able to generate at least 10 FTDs (for any brand) facing all discussed requirements.

14.23 If not, we reserve a right not to proceed the withdrawal up until the requirements discussed beforehand are fulfilled.

14.24 A first time deposit (lead) that is being generated from: FB, e-mail, sms, UAC sources is paid if a deposit was made within 31 days since a lead had made a registration. A New Player who made a first time deposit after a specified period of time (31 days) is not paid.

14.25 A first time deposit (lead) that is being generated from PPC source is paid if a deposit was made within 45 days since a lead had made a registration. A New Player who made a first time deposit after a specified period of time (45 days) is not paid.

14.26 A first time deposit (lead) that is being generated from SEO or ASO source is paid if a deposit was made within 60 days since a lead had made a registration. A New Player who made a first time deposit after a specified period of time (60 days) is not paid.

14.27 The initial test cap is paid, if an Affiliate is able to generate at least 3 FTDs (for any brand) facing all discussed requirements. facing all discussed requirements.

14.28 If not, we reserve a right not to proceed the withdrawal up untill the requirements discussed beforehand are fulfilled.

Note! In the event that a link associated with a CPA and Hybrid deal for the UAC, FB, In-app, SMS, email, fails to register any valid First-Time Deposits (FTDs) within the span of 30 days following its establishment, said link shall be rendered inactive and shall not accrue commissions.

14.29 It is the obligation of the Affiliate to apprise the CatchBet Partnets in the event that the link remains unused on account of technical difficulties; absence of such notification will result in the link being considered invalid.

14.30 Please note, in case a big win occurs and the balance of a player is lost - such funds shall not be considered as a part of commission fee relying to the Terms & Conditions of the Revenue Share and a Hybrid models.

14.31 The Affiliate’s acceptance of an Affiliate Remuneration payment shall constitute the full and final settlement of the balance due for the relevant period. In case the Affiliate disagrees with the balance due as reported, he or she shall notify CatchBet Partners within fourteen (14) calendar days and clearly state reasons of the disagreement. Failure to notify CatchBet Partners within this time limit shall be considered as an irrevocable acknowledgment of the balance due for the relevant period.

14.32 The Affiliate Remuneration shall be deemed to be exclusive of value added tax or any other applicable tax. The Affiliate shall have the sole responsibility to pay any and all taxes, levies, charges and any other money payable or due to any tax authority, banking institution, department or other competent entity as a result of the compensation generated under the Agreement.

14.33 The Affiliate agrees that it will be responsible for any charges and fees corresponding to the payment to Affiliate made by CatchBet Partners, applied by the CatchBet Partners's bank or payment provider, by any intermediaries, and by the Affiliate's bank or payment provider. For example, the payment to Affiliate made via bank transfer will be reduced by CatchBet Partners's bank fees for outgoing wires, by the charges of any intermediary banks (if applicable), and the Affiliate bank's fees for incoming wire (if applicable). The same applies to other payment methods.

14.34 Affiliate agrees and acknowledges herein that:
i. the turnover generated from Leads and New Players may be subject to "Negative Carryover" provisions, deductions, deferred payments and other provisions which may affect the Remuneration (its payment to Affiliate may be withheld to reflect or adjusted to exclude any refunded or credited amounts, in particular, any claims, demands, offsets, card chargebacks, etc. and any amounts arising from restricted, invalid, fraudulent and other or Non-Qualifying activity, as determined in this Agreement and the applicable Offer);
ii. At the sole discretion of CatchBet Partners negative commission balances of the Affiliates are zeroed out at the end of each month, with exception of negative commission balances generated by "High Rollers", which are not written off. So in order to secure the Affiliate’s potential revenue from possible negative outcomes of the High Roller's activity, CatchBet Partners applies the High Roller Policy
iii. CatchBet Partners will only pay for Leads and New Players tracked by its tracking system and associated with Affiliate's Tracking URL. No payment will be made if a Lead or New Player cannot be tracked by CatchBet Partners' systems.
iv. All internal currency conversions will be performed based on the then-current FX rates of the CatchBet Partners's bank.

14.35 In addition to CatchBet Partners's other rights and remedies, CatchBet Partners may: i. withhold and offset any payments owed to Affiliate against any amounts Affiliate owe CatchBet Partners (e.g. which have been generated by Fraud), or
ii. require Affiliate to refund CatchBet Partners within thirty (30) days of a notice, any amounts CatchBet Partners may have overpaid to Affiliate in prior periods.

14.36 In a case if Affiliate does not withdraw generated turnover for more than 365 (three hundred sixty-five days) from the day when it occurred, CatchBet Partners have a right to withhold such turnover in his favor.

14.37 It is the sole responsibility of the Affiliate to check the balance of the turnover on the Affiliate’ Account and the terms of withdrawal of the payments from it.

14.38 At the Affiliate's request, CatchBet Partners may return the entire amount withdrawn to the balance of Affiliates’ Account.

15. High Roller Policy

15.1 Negative or positive commissionable revenue generated in any given month by any Affiliate that CatchBet Partners determines, in its sole discretion to be “High Rollers” will be carried forward and offset against future commissionable revenue generated by the same High Roller referred by the Affiliate.

15.2 The determination of the criteria to categorize a Player as “High Roller” and to activate the High Roll Tracker shall be in CatchBet Partners’s sole discretion, and CatchBet Partners’s sole responsibility in this regard shall be to advise the Affiliate of the categorisation of any Player(s) referred by the Affiliate as a High Roller. The criteria for determining High Roller and activating the High Roll Tracker are the following:
(i) if in any given month during 30 calendar days a Player generates: - Gross Gaming Revenue (GGR) in sum of at least fifteen thousand (EUR$15.000,00) OR - Deposit in sum of at least forty thousand (EUR$40.000,00) OR- Withdrawal in sum of at least twenty thousand (EUR$20.000,00), then such Player shall be deemed to be a High Roller;
(ii) if one of the above criteria is met then the negative or positive commissionable revenue generated by the High Roller will be carried forward and offset against future commissionable revenue generated by that High Roller;
(iii) the negative balance carried forward cannot be set-off against other Players’ positive commissionable revenue;
(iv) the High Roller will be isolated (fenced or temporarily removed) from the Affiliate pool of Players. The revenue from the High Roller will be paid every 45 calendar days from the date a player is classified as a High Roller, in accordance with the terms outlined in Section 14 of the Agreement. The revenue from this specific Player will not affect the overall Amount Due from the other Players during the billing period.

16. Intellectual Property Rights

16.1 CatchBet Partners retains all right, title, and interest in and to the Affiliate Program (including, but not limited to, ownership of all copyrights, trademarks, patents, derivative works, modifications, lists of advertisers, algorithms, taxonomies, trade secrets and other intellectual property rights therein).

16.2 Except as expressly stated in this Agreement, nothing is intended to grant Affiliate any rights to any of CatchBet Partners's Marks, service marks, brand names, copyrights, patents or trade secrets, or any other Intellectual Property Right or proprietary right.

16.3 Affiliate shall not use any of CatchBet Partners's Brand names, designations and trademarks, or Marks other than as permitted in this Agreement.

16.4 Affiliate agrees that CatchBet Partners may use any suggestion, comment or recommendation Affiliate chooses to provide to CatchBet Partners without compensation.

16.5 Any use of the CatchBet Partners’s Intellectual Property Rights must comply with any brand guidelines provided by the CatchBet Partners from time to time, and is always subject to prior approval as set out in this clause. 16.6 The Affiliate shall not register or use any domain names, search terms, keywords, or other identifiers in any search engine, portal, app store, sponsored advertising service, or other referral platform that are identical to or include any of the CatchBet Partners’s Marks.

17. Confidentiality

17.1 During the term of the Agreement, Affiliate may from time to time be entrusted with confidential information relating to business, operations, or underlying technology and/or the Affiliate Program of CatchBet Partners including, for example, the Remunerations earned by Affiliate under the Affiliate Program).

17.2 Affiliate agrees to avoid disclosure or unauthorised use of any such confidential information to third persons or outside parties unless Affiliate has prior written consent of CatchBet Partners. Affiliate also agrees that it will use the confidential information only for the purposes of the Agreement. Affiliate obligations in regards to this clause survive the termination of this Agreement.

17.3 In addition, Affiliate must not issue any press release or similar communication to the public with respect to Affiliate participation in the Affiliate Program without the prior written consent of CatchBet Partners (with approval of the exact content to also be approved by CatchBet Partners).

18. Term and Termination

18.1 This Agreement shall commence on the date of the registration and approval of the Affiliate's Affiliate Program application and shall continue thereafter until terminated.

18.2 At any time, either party may immediately terminate this Agreement, with or without cause, by giving the other party prior 7 days' written notice of termination, unless otherwise is not set out in the Agreement.

18.3 CatchBet Partners may at any time suspend Affiliate's Account or Affiliate's participation in any Offer and/or terminate this Agreement as provided in other sections of this Agreements and/or if Affiliate is in breach of this Agreement.

18.4 If this Agreement is terminated because Affiliate has violated this Agreement or Applicable Laws, Affiliate will not be eligible to receive any payments, including earned prior to the date of termination, or the Remuneration under "lifetime" Revenue Share Remuneration Model.

18.5 Notwithstanding the above, the payment of Remuneration under "lifetime" Revenue Share Remuneration Model shall also be terminated if:
(i) CatchBet Partners discontinue their Brand, product or Service,
(ii) CatchBet Partners are banned or limited from selling or distributing its Brand, product or Service, or it becomes illegal to CatchBet Partners to sell or distribute its product or service, (iii) CatchBet Partners terminate or sell part or all of its business, or (iv) CatchBet Partners discontinues the Affiliate Program.

18.6 CatchBet Partners reserve the right to withhold Affiliate's final payment for a reasonable time to ensure that the correct amount is paid.

18.7 CatchBet Partners have the right to cancel the Agreement for the provision of Services with Affiliate at any stage and return its cost to the Affiliate only if Affiliate is fully reimbursed for losses actually taken.

18.8 Upon the termination of this Agreement for any reason, Affiliate will immediately cease use of, and remove from Media and any other sources and media all Tracking URLs, Ads and Creatives and any other names, Marks, symbols, copyrights, logos, designs, or other proprietary designations or properties owned, developed, licenses or created by CatchBet Partners and/or provided by or on behalf of CatchBet Partners to Affiliate pursuant to this Agreement, and will cease representing itself as CatchBet Partners's Affiliate.

18.9 Termination of this Agreement will not act as a waiver of any breach of the Agreement and will not act as Affiliate's release from any accrued liability or liability for breach of Affiliate's obligations under the Agreement or Applicable Laws.

18.10 All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers, indemnity, limitations of liability, and any provisions regarding Affiliate's use of confidential information.

19. Representations and Warranties

19.1. Affiliate hereby represents and warrants to CatchBet Partners that: (i) all the documents and information which Affiliate provides CatchBet Partners with are true, accurate and complete;
(ii) Affiliate will immediately comply with instructions and the Guidelines (as may be amended by CatchBet Partners from time to time);
(iii) Affiliate will comply with all Applicable Laws during the term of the Agreement and Affiliate’s marketing and promotion of the Affiliate Websites shall comply with all Applicable Laws;
(iv) Affiliate shall obtain, maintain and comply with all approvals, permits, certificates authorisations, licensees, consents which you require to fulfil your obligations under the Agreement;
(v) Affiliate shall obtain, maintain and comply with all approvals, permits, certificates authorisations, licensees, consents which are required to poses by Applicable Laws or any regulator;
(vi) Affiliate will not provide the Promotional Content to any third party;
(vii) there is no legal, commercial, contractual or other restriction, which precludes or might preclude you from fully performing Affiliates’ obligations as set out in this Agreement; (viii) if Affiliate is an individual rather than a legal entity, Affiliate is legally of age in his jurisdiction;
(iv) Affiliate have evaluated the laws (and in particular all laws relating to the promotion of online gambling) relating to Affiliate activities and obligations as set out in this Agreement and have concluded that Affiliate can enter into this Agreement and fulfil its obligation as set out in this Agreement without violating any Applicable Law; and
(v) Affiliate shall comply with and ensure: (a) the prevention of gambling from being a source of crime or disorder, being associated with crime or disorder or being used to support crime; (b) that gambling is conducted in a fair and open way; and (c) the protection of children and other vulnerable persons from being harmed or exploited by gambling;
(vi) If a person is entering into this Agreement on behalf of a business entity, by doing so, he/she represents that he/she has the legal capacity and authority to bind such a business entity to this Agreement.

20. Disclaimer of warranties

20.1 CatchBet Partners make no express or implied warranties or representations with respect to the Affiliate Program, about CatchBet Partners or the Remuneration payment arrangements (including, without limitation, functionality, warranties of fitness, merchantability, legality or non-infringement). In addition, CatchBet Partners makes no representation that the operation of Brands will be uninterrupted or error-free and will not be liable for the consequences if there are any. In the event of a discrepancy between the reports offered in the Affiliate Account system and CatchBet Partners database, the database shall be deemed accurate.

21. Limitation of Liability

21.1 IN NO EVENT SHALL CATCHBET PARTNERS BE LIABLE FOR ANY UNAVAILABILITY OR INOPERABILITY OF AFFILIATE PROGRAM, CREATIVES, TRACKING URLS AND CATCHBET PARTNERS's SERVICES PROVIDED IN CONNECTION WITH THIS AGREEMENT, TECHNICAL MALFUNCTION, COMPUTER ERROR, CORRUPTION OR LOSS OF INFORMATION, OR OTHER INJURY, DAMAGE OR DISRUPTION OF ANY KIND BEYOND CATCHBET PARTNERS's REASONABLE CONTROL. IN NO EVENT WILL CATCHBET PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PERSONAL INJURY, DEATH, SPECIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF SUCH DAMAGES ARE FORESEEABLE AND WHETHER OR NOT CATCHBET PARTNERS HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. CATCHBET PARTNERS's CUMULATIVE LIABILITY TO AFFILIATE, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL BE LIMITED TO AND WILL NOT EXCEED THE AMOUNTS PAID TO AFFILIATE BY CATCHBET PARTNERS DURING THREE (3) MONTHS IMMEDIATELY PRIOR TO SUCH CLAIM.

22. Dispute Resolution

22.1 The procedure for handling disputes: (i) CatchBet Partners Affiliate Program does not accept for consideration and does not consider controversial treatment for lost profits.
(ii) Affiliate Program does not compensate for moral damage.
(iii) All reports should be sent to [email protected].
(iv) If Affiliate wishes to dispute any payment made or withheld under this Agreement, Affiliate must send a complaint to CatchBet Partners in writing within five (5) days of any such payment.
(v) The maximum time period for consideration of complaints sent by the Affiliate is 15-20 business days.
(vi) If a dispute arises that is not spelled out in this Agreement, CatchBet Partners reserve the right to make a decision in its sole discretion.

22.2. Consideration of appeals of Affiliate and resolution of controversial issues:
(i) All parties are trying to resolve disputes by negotiation and correspondence. Affiliates’s complaints are accepted by the CatchBet Partners for consideration only in written form and no later than five (5) calendar days from the date of the dispute.
(ii) All appeals of the Affiliate are considered official and are treated as appeals in writing / form, via e-mail to the relevant services of the Affiliate Program. Written appeals made with the help of programs of online communicators: Telegrams and other instant messengers are not considered.
(iii) Affiliate's request must contain:

• Full name/ Full name of representative and official company name;
• Email address;
• Account number;
• Date and time of the dispute;
• The essence of the appeal.

(iv) Affiliate Program has the right to refuse to consider the complaint in the following cases:
(a) if complaint do not meet the conditions listed in this clause of the Agreement;
(b) if complaint contain obscene language and / or insults to the Affiliate Program or its employees/representatives/contractors;
(c) if complaint contain threats to the Affiliate Program or its employees/representatives/contractors;
(d) if the argument of the Affiliate is the threat of blackening the image of the Affiliate Program in social networks and other resources.

22.3 The deadline for consideration of the Affiliate Program by the Affiliater’s claim is no more than twenty working days from the moment all necessary and sufficient data is received from the Affiliate related to this claim and necessary for its resolution.

22.4 In case of any disagreement regarding the operations or the status of the Affiliate’s Account, the parties review the protocols of the Affiliate’s operations based on the Affiliate’s data.

22.5 In the event of an Affiliate's violation of any of the points listed above, the Affiliate Program reserves the right to refuse to cooperate with the Affiliate.

22.6 In case of failure to reach an agreement through negotiations and correspondence within 3 (three) months from the moment the dispute arose, its further consideration takes place in court in accordance with the current legislation at the current place of registration of the CatchBet Partners Affiliate Program.
